Terms of Use

Exhale is a family assistant chatbot operated by Grey AI LLC ("Grey AI," "we," "us," or "our"). These Terms of Use ("Terms") govern your use of the Exhale service, including our web application and chat interfaces (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

By signing up, you represent that you're at least 18 years old and that the information you provide is accurate. You sign in with your Google account and are responsible for all activity under your credentials. If you believe your account has been compromised, contact us at notices@greyai.ai.

2. What Exhale does

With your permission, Exhale connects to your Google account and websites you ask it to monitor, reads and organizes information — emails, calendar entries, tasks, links, and messages — and surfaces it through a conversational interface. The Service is for your personal, non-commercial use only.

• Email. Exhale reads the email folders you connect. It can't send, edit, or delete your email.
• Calendar and tasks. With your permission, Exhale can add and organize events in your Google Calendar and items in Google Tasks on your behalf.
• Text messaging. If you connect a messaging integration, you can send text messages through the Service to people you designate — such as a spouse, co-parent, or caregiver. Messages are delivered through a third-party messaging provider at your direction. See Section 8 for details.
• Website monitoring. Exhale may access websites you ask it to monitor — such as a school's online calendar — to surface relevant information.

We may change, improve, or discontinue features at any time with reasonable notice of material changes where practical.

3. Pricing and billing

Exhale may be offered free, on a trial basis, or as a paid subscription. If a free trial period applies, we'll notify you before it ends or any charges begin.

Paid plans may be offered monthly, annually, or on another periodic basis. We'll communicate pricing before you're charged. Subscriptions renew automatically unless you cancel before the next renewal date; cancellation takes effect at the end of your current period. We'll give you at least thirty (30) days' notice before any price increase, and you may cancel before the new rate takes effect.

Payments are processed by a third-party provider under its own terms. Grey AI doesn't store your payment card details, and unless otherwise stated or required by law, fees are non-refundable.

4. Your content and data

You retain all rights to the information in your connected accounts. By using Exhale, you grant Grey AI a limited, non-exclusive license to access, process, and display your information solely to provide and improve the Service. You're responsible for having the right to connect any accounts or sources you use. For details on how we handle your data, see our Privacy Policy.

5. Acceptable use

You agree to use Exhale only for its intended purpose — managing family and household life — and in compliance with applicable law. You agree not to:

• Use the Service for any unlawful, fraudulent, or abusive purpose;
• Use automated means (bots, scrapers, crawlers, scripts, or similar) to access, copy, or extract data from the Service, or systematically collect its output;
• Reverse-engineer, decompile, or attempt to discover the source code, algorithms, prompts, model architecture, or trade secrets of the Service;
• Use the Service or its output to build, train, or validate a competing product, service, or AI model, or to train any AI or machine-learning model without our prior written consent;
• Resell, sublicense, or commercially exploit the Service or its output;
• Misrepresent your identity or create an account under false pretenses; or
• Interfere with or disrupt the Service, its infrastructure, or other users' access.

We may suspend or terminate your access for violations.

6. Artificial intelligence

Exhale uses AI to read, organize, summarize, and respond to information in your connected accounts. Content generated by the Service is machine-generated.

AI output isn't guaranteed. Summaries, reminders, calendar entries, and action items may not always be accurate, complete, or current — the Service may miss, misinterpret, or incorrectly surface information.

Not a substitute for your own review. For anything consequential — medical appointments, legal deadlines, school closures — verify against the original source.

7. Third-party services

Exhale integrates with third-party services governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of those services or the websites you've asked Exhale to monitor.

8. SMS and messaging

The Service includes a messaging feature that lets you send text messages to people you designate through a third-party messaging provider. By using this feature, you represent that each recipient has consented to receive messages from you through the Service and that your messages comply with applicable law.

Recipients may opt out at any time by replying STOP to any message, or receive assistance by replying HELP. Message and data rates may apply.

9. Intellectual property

The Service — including its design, code, AI models, algorithms, prompts, branding, and documentation — is owned by Grey AI and protected by applicable law. You may not copy, modify, or create derivative works from the Service. If you share feedback or ideas with us, you agree we may use them without restriction or compensation.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED CONTENT MAY CONTAIN ERRORS OR INACCURACIES, AND YOU'RE SOLELY RESPONSIBLE FOR VERIFYING INFORMATION BEFORE ACTING ON IT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREY AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY WON'T EXCEED THE GREATER OF WHAT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS LIMIT THESE EXCLUSIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify and hold harmless Grey AI, its officers, directors, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms or any third party's rights, or any content you create through the Service.

13. Dispute resolution

Informal resolution first. Before filing any formal proceedings, you agree to contact us at notices@greyai.ai and attempt to resolve the dispute informally for at least forty five (45) days.

Then arbitration. If we can't resolve the dispute informally, it will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Hearings will take place in Maryland or, at your election, by videoconference or telephone.

Class action waiver. YOU AND GREY AI AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Time limit. Any claim arising from or related to these Terms or the Service must be filed within one (1) year after the cause of action arises.

Opt-out. You may opt out of arbitration by sending written notice to notices@greyai.ai within thirty (30) days of first using the Service. If you don't opt out, you're agreeing to arbitration rather than court.

Exceptions. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or prevent unauthorized access.

14. Governing law

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws principles. For disputes not subject to arbitration, you consent to exclusive jurisdiction of the state and federal courts in Maryland.

15. Termination

You may stop using Exhale at any time by disconnecting your accounts. We may suspend or terminate your access at any time, with or without cause or notice. If we terminate without cause, we'll refund prepaid fees for the unused portion of your subscription. Upon termination, your right to use the Service ends immediately. We'll handle your data as described in our Privacy Policy.

Sections 4, 5, 6, 9, 10, 11, 12, 13, 14, 15, and 17 survive termination.

16. Changes to these Terms

We may update these Terms by revising the effective date and providing notice where appropriate. Continued use after an update means you accept the revised Terms. If a change materially reduces your rights, we'll give you advance notice.

17. General

If any provision of these Terms is found unenforceable, the rest remain in full force. Our failure to enforce any provision isn't a waiver. These Terms and the Privacy Policy are the entire agreement between you and Grey AI regarding the Service. We may assign these Terms in connection with a merger, acquisition, or asset sale. By using the Service, you consent to receive communications from us electronically.

Grey AI is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, government actions, internet or infrastructure failures, or third-party service outages.
